Specialist II, JV & Contracts Management Job

Advanced Metal Industries Co. (AMIC), which is equally owned by Tasnee and Cristal.

Tasnee, signed a joint venture agreement with Japan’s Toho Titanium Company in January 2014 to build the SAR 1.6 billion project. The titanium sponge project is the region’s first of its type to produce 15,600 tons of pure titanium. The company has sent 69 Saudi engineers to train for two years in Japan on producing pure titanium.

An exciting opportunity is available for Specialist II, JV & Contracts Management, based in Jeddah who will report directly to EVP - SBU Metallurgy. 

 Summary:

  • Performing the duties for current and future JV’s include contracts management, document control and reporting.

 In this role, you will be responsible of:

  1. Coordination of JV contractual requirements “Contracts Support” with Internal and External Stakeholders.
  2. Responsible for effectively managing the Metallurgy SBU contracts with all partners and administering projects / JV technical documents in accordance with company, client and industry standards and needs.
  3. Liaise the process of joint venturing with projects partners as well as handling all contract (MOU’s NDA’s CDA’s) related aspects.
  4. Responsible for licensing, legalizing, and establishing entities for external investors / projects partners and / or company needs.
  5. Provide necessary support to JV companies partners with regards to their quires in coordination with the legal department/organizations and to ascertain that the JV companies governmental documents are updated and are always kept valid.
  6. Coordinate with internal and external stakeholders’ contracts issues concerning JV agreements and other technology providers including any contractual claims (examples: option agreement with Tronox).
  7. Ensure implementation of contracts terms for meeting contractual obligations and protecting company interest. 
  8. Reviews contract terms and technical specifications to identify any special requirements.
  9. Provide summary for all JV agreements that explains AMIC obligations and requirements as per agreements.
  10. Gather information related to JV companies’ activities and prepare management executive reports.
  11. Responsible, controller of all projects / company affiliates documents as well as communication related documents.
  12. Provides support on conducting benchmarking activities to ensure the organizations adoption of best quality and highest standards.
  13. Maintain a suitable system to control the flow and storage of original documents and other related correspondences of the organization.
  14. Manage day-to-day work operations of the job function and having a good relationship with workgroup.
  15. Any other tasks assigned by the direct manager or department head.

 

Minimum Qualification and Experience:

  • Bachelor's Degree in Engineering combined with relevant significant experience in a similar role.
  • 6+ years of experience in a similar field.

 

Knowledge & Skills Required:

  1. Strong experience and knowledge of contract functions, such as determining contract types (MOU/NDA/CDA) and proper clauses, interpreting contract regulations and legal requirements.
  2. Knowledge of principles, procedures, and standards for drafting a range of complex legal documentation in area of expertise.
  3. Advanced working knowledge of legal research principles, methods, techniques, and resources.
  4. Knowledge of litigation and legal contract, agreement, and settlement procedures and documentation.
  5. Knowledge in contracts execution and managements.
  6. Strong understanding of SBU’s business.
  7. Excellent verbal/written communication, presentation skills, especially in report writing and presenting to senior management.
  8. Ability to work within a team with colleagues from a wide range of professional backgrounds and contribute to the development of team culture and the achievement of common objectives.
  9. Ability to take on responsibility and use initiative to prioritize and work effectively under pressure and to tight deadlines.
  10. Innovative approaches to problem solving, creative and lateral thinking through initiation and development of new ideas.
  11. Excellent English and contract analysis skills
  12. Excellent verbal / written communication and presentation skills.
  13. Excellent administration skills and attention to detail.
  14. Confidence to bring new ideas to the table and demonstrate well thought out plans to execute them if appropriate.
  15. Strong computer skills (familiarity with MS Office suite – Word, Excel, and PowerPoint)
  16. Experience working in a multi-cultural environment.
